Cincinnati businesses are subject to Ohio law, and the Ohio cognovit statute is the provision that matters most. O.R.C. 2323.13 allows judgment on a warrant of attorney in a commercial obligation only where the statutory warning appears in the required form immediately above the signature, and it restricts the action to a county where the debtor signed or resides. Subsection (E) prohibits cognovit provisions in consumer transactions outright. Out-of-state drafters violate those formalities regularly. Beyond that, most funder agreements select foreign law and venue and domesticate into Hamilton County Common Pleas.

Enforcement against the Ohio business runs through Ohio process. A guarantor in that position has considerably less personal protection than they assume, and it is worth mapping before signing a guarantee rather than after.
Rarely, because the instruments do not match. An advance collects daily against a payment stream that arrives quarterly, so you fund the debits from working capital you do not have. On public work you usually have better tools: prompt payment provisions, mobilization and stored materials in your pay applications, and lien or bond claim rights that create real leverage with the prime. Those cost far less than the advance and they address the actual problem, which is the prime’s payment behavior.
